The web pages available at http://www.haslus.co.uk/ ("Site"), are owned and operated by within Groundwork Blackburn. These Terms are void where prohibited by law, and the right to access the Site is revoked in such jurisdictions.

All WEBSITE design, text, graphics, the selection and arrangement thereof, and all software compilations, underlying source code, software and all other material on this WEBSITE are copyright to HASLUS and its affiliates, or their content and technology providers. ALL RIGHTS RESERVED.

Permission is granted to electronically copy and to print in hard copy portions of this WEBSITE for the sole purpose of placing an order with HASLUS or using this WEBSITE as a shopping resource. Any other use of materials on this WEBSITE--including reproduction for purposes other than those noted above, modification, distribution, or republication--without the prior written permission of HASLUS is strictly prohibited.

Use of Site

Governing Law and Contract Formation

No contract will subsist between you and HASLUS for the sale by it to you of any product unless and until HASLUS accepts your order by e-mail confirming that it has dispatched your product. That acceptance will be deemed complete and will be deemed for all purposes to have been effectively communicated to you at the time HASLUS sends the e-mail to you (whether or not you receive that e-mail). For the avoidance of doubt, any such contract will be deemed to have been concluded in the United Kingdom. Further, any such contract will be interpreted, construed and enforced in all respects in accordance with the laws of England, and you and HASLUS irrevocably submit to the non-exclusive jurisdiction of the English Courts.

Registration Process

As a condition to using portions of the Site, User may be required to register with HASLUS by selecting a password, entering an e-mail address, and providing other requested information. User shall provide HASLUS with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of User's account. User may not:

select or use a HASLUS user ID a name of another person with the intent to impersonate that person; or
use as an HASLUS user ID a name subject to any rights of a person other than User without appropriate authorisation. HASLUS reserves the right to refuse registration of, or cancel an HASLUS user ID in its discretion. User shall be responsible for maintaining the confidentiality of User's HASLUS user ID.

Account Information

In order to provide certain portions of the Site, HASLUS will collect certain personal information for use of the Site. Such personal information may include User name, address, telephone number, fax number and billing information.

Content

Ownership

All materials displayed or performed on the Site (including, but not limited to text, graphics, news articles, photographs, images, illustrations, audio clips and video clips, also known as the "Content") are protected by intellectual property laws, and are owned or controlled by HASLUS or other third party content providers. User may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the Content, software, or materials on the Site in whole or in part, except as otherwise provided in these Terms. User Contributions

All content or contributions to the Site shall become HASLUS property and User hereby assigns all rights, titles and interests in and to such contributions to HASLUS. To the extent allowed by law, User also assigns and waives all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known or referred to as "moral rights". To the extent User retains any such moral rights under applicable law, User hereby ratifies and consents to any action that may be taken with respect to such moral rights by HASLUS and agrees not to assert any moral rights with respect thereto. User represents and warrants that User:

will not contribute any code or Content that is libelous, defamatory, obscene, pornographic, abusive, or otherwise violates any law and
has sufficient rights in the code or Content User provides to allow third parties and HASLUS to use such Content as permitted in these Terms

In the event that a User posts or makes accessible Content that HASLUS is notified may infringe the copyright or other intellectual property rights of a third party, HASLUS may take the actions described in the HASLUS copyright infringement policy pursuant to the Digital Millennium Copyright Act.

HASLUS takes the privacy of its Users' information, especially account information, very seriously. HASLUS reserves the right to modify its privacy statement as set out in these Terms.

The Site may provide links to other websites or resources. User acknowledges and agrees that HASLUS is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. User agrees that HASLUS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, products or services available on such external sites or resources.

Termination

HASLUS may terminate any User's access to the Site immediately, without prior notice or liability, if User breaches any of the terms or conditions of these Terms. Upon termination of access to the Site, User's right to use the access the Site will immediately cease.

HASLUS has no special relationship with or fiduciary duty to User. Limitation of Liability

Indemnification

User shall indemnify and hold harmless HASLUS, its parents, subsidiaries, affiliates, officers, directors, employees, agents, successors and assigns from and against any and all claims, losses, liabilities and damages of any kind (including reasonable attorneys' fees) resulting from User's access or use of the Site or the infringement by User, or any third party using User's the HASLUS user ID, of any intellectual property or other right of any person or entity.

Notices

All notices to a party shall be in writing and shall be made via email to info@haslus.co.uk for notices to HASLUS, or to the email address that User provides to HASLUS during the registration process for notices to User. Notices shall be deemed given 48 hours after the email is sent, unless the sending party is notified that the email address is invalid. Alternatively, notices may be sent by regular mail, postage prepaid, or confirmed fax to the HASLUS address and fax number provided below or to the address or fax number that User provides during the registration process. HASLUS may also broadcast generally applicable notices or messages through postings on the Site; such broadcasts or notices shall constitute notice to User.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Waiver

The waiver by HASLUS of a breach or a default of any provision of these Terms by User shall not be construed as a waiver of any succeeding breach of the same or any other provision, nor shall any delay or omission on the part of HASLUS to exercise or avail itself of any right, power or privilege hereunder, operate as a waiver of any right, power or privilege by HASLUS.

Governing Law; Jurisdiction & Venue; Attorneys' Fees

These Terms and the transactions contemplated hereby shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without taking into account its principles on conflicts of law. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms.

Relationship of the Parties

Nothing contained in these Terms shall be deemed to constitute either party as the agent or representative of the other party, or both parties as joint venturers or partners for any purpose.

Entire Agreement; Assignments

These Terms:

constitute the entire agreement of the parties hereto with respect to the subject matter hereof and supersede all prior understandings and agreements, whether written or oral, as to such subject matter
may not be modified, supplemented, qualified or interpreted by any usage of trade or course of dealing; and
shall be binding upon and shall inure to the benefit of the respective successors and permitted assigns of the parties hereto. User's rights and obligations hereunder are not assignable, except with HASLUS' prior written consent. Any attempted assignment of these Terms or of any of User's rights or obligations hereunder in violation of the foregoing shall be void.

Force Majeure

In no event shall HASLUS have any liability to User for any delayed performance or non-performance by HASLUS which results, in whole or in part, directly or indirectly, from any cause beyond the reasonable control of HASLUS.
